Article 1 — Definitions

For the purposes of this End User License Agreement, the following terms shall have the meanings set out below:

"Agreement" means this End User License Agreement, including all schedules and annexes, as amended from time to time.

"Software" means the Nyroxis cybersecurity software suite, including the Agent Service, Intelligent Service, Sentinel App Startup, Dashboard Nyroxis, and all associated components, including machine learning modules, reporting tools, and any future updates or patches provided under this Agreement.

"Licensor" means NYROXIS, a Société par Actions Simplifiée Unipersonnelle registered and operating under the laws of France.

"End User" or "You" means the individual or legal entity that installs, activates, or uses the Software under either a Trial License or a Paid License, and agrees to be bound by the terms of this Agreement.

"License Key" means the unique alphanumeric code issued by the Licensor, which enables activation of the Software. A License Key may be issued upon purchase (for a Paid License) or made available free of charge (for a Trial License).

"Trial License" means a free, no-fee license granted for evaluation, testing, or trial purposes, which may be limited in time or features and which is provided strictly on an "as is" basis. A Trial License includes any pre-release, beta, or test build of the Software.

"Paid License" means an annual, hardware-bound license granted upon payment of the applicable license fee, as further described in Article 2.

"HWID" means Hardware Identification Code — a unique identifier derived from the hardware components of the End User's device, used solely for license activation and binding purposes. The HWID is a composite of multiple hardware identifiers and has no independent utility outside the activation process.

"Private Key" means the unique cryptographic key generated exclusively on the End User's device during the activation process, used to encrypt local data. The Private Key is never transmitted to or stored by the Licensor.

"License Term" means, for a Paid License, the period of one (1) year from the date of successful activation of the Software; and, for a Trial License, the trial or evaluation period made available by the Licensor for that build (which may be limited in time or features, and, for pre-release and test builds, may last until the Licensor issues a superseding release).

"Authorized Device" means the hardware device on which the Software has been validly activated using the License Key.

--------------------------------------------------

Article 2 — Grant of License

2.1 License Grant. Subject to the terms and conditions of this Agreement, the Licensor grants the End User a personal, non-exclusive, non-transferable, non-sublicensable, limited license to install and use one (1) copy of the Software on a single Authorized Device during the applicable License Term. This license is granted:
(a) under a Paid License, upon payment of the applicable license fee, for the full functionality of the Software offered for that license; or
(b) under a Trial License, free of charge, for evaluation, testing, or trial use — including any pre-release, beta, or test build of the Software — which may be limited in time or features and is provided strictly on an "as is" basis.

2.2 Scope of Use. The license granted under this Agreement authorizes the End User to use the Software solely for lawful personal or professional security monitoring purposes on the Authorized Device.

2.3 License Limitation. This Agreement does not grant any license to the underlying source code, object code architecture, algorithms, machine learning models, or any other proprietary components of the Software. The End User acquires no ownership rights in or to the Software.

2.4 Term and Renewal. A Paid License is valid for one (1) year from the date of activation; at the end of the License Term, the End User must purchase a new license key to continue using the Software. A Trial License is valid only for the trial or evaluation period made available for that build. In either case, continued use of the Software after expiration of the applicable License Term, without a valid renewal or license, constitutes a breach of this Agreement.

--------------------------------------------------

Article 3 — License Restrictions

3.1 Prohibited Actions. The End User shall not, directly or indirectly, and shall not permit any third party to:

• Copy, reproduce, distribute, publish, or transfer the Software or any component thereof;
• Sell, resell, rent, lease, sublicense, or otherwise commercially exploit the Software;
• Modify, adapt, translate, or create derivative works based on the Software;
• Reverse engineer, disassemble, decompile, decode, decrypt, or attempt to derive the source code of the Software or any component thereof. The Licensor expressly warrants that the Software contains built-in security mechanisms that may render the Software inoperative upon detection of reverse engineering attempts;
• Remove, alter, or obscure any copyright, trademark, or proprietary rights notices contained in or on the Software;
• Use the Software as part of any automated system, data pipeline, or for any purpose other than as expressly permitted under this Agreement;
• Share the License Key with any third party or use a single license across multiple users;
• Attempt to circumvent, bypass, or disable any license enforcement or copy protection mechanisms.

SECURITY WARNING — REVERSE ENGINEERING

The Nyroxis Software incorporates self-defense mechanisms designed to detect unauthorized analysis, decompilation, or reverse engineering attempts.

If such activity is detected, the Software may automatically lock itself and cease operation. The Licensor accepts no liability for any loss of data, system access, or operational disruption resulting from the activation of these protective mechanisms.

--------------------------------------------------

Article 4 — Hardware-Bound License and Activation

4.1 Hardware Binding. The Software license is cryptographically bound to the hardware configuration of the End User's device. Upon activation, the Software generates a unique HWID derived from multiple hardware identifiers of the Authorized Device. This HWID is transmitted via an anonymized and encrypted channel to the Licensor's activation servers solely for the purpose of generating the End User's unique Private Key.

4.2 Private Key Generation. A unique Private Key is generated on the basis of the End User's HWID. This Private Key is stored exclusively within the Windows registry of the Authorized Device and is never retained, stored, or accessible by the Licensor. The Licensor has no ability to recover or regenerate any Private Key after its initial generation.

4.3 Maximum Activations. Each License Key permits a maximum of three (3) activations during the License Term. Each activation is associated with a distinct hardware configuration. Once three activations have been consumed, no additional activations are permitted under the same License Key.

4.4 Device Transfer. If the End User activates the Software on a new device, the data encrypted on the previous device will become permanently inaccessible, as the associated Private Key is unique to that device's hardware configuration and cannot be transferred. A new Private Key will be generated for the new device. Each activation reduces the remaining activation count by one (1).

4.5 No HWID Transfer. The HWID is device-specific and has no utility or value independent of the activation process. Even if the HWID were obtained by a third party, it could not be used to access, decrypt, or reproduce any data or functionality of the Software.

--------------------------------------------------

Article 5 — Data Irrecoverability Notice

CRITICAL NOTICE — PERMANENT DATA LOSS

5.1 The Nyroxis Software encrypts all locally stored data using a Private Key that is unique to the End User's device and Windows installation. This key is stored exclusively within the Windows registry of the Authorized Device.

5.2 In the event of any of the following circumstances, all encrypted data will become PERMANENTLY AND IRRECOVERABLY INACCESSIBLE:

(a) Replacement or significant modification of hardware components that contribute to the HWID;
(b) Reinstallation or corruption of the Windows operating system;
(c) Deletion, corruption, or unauthorized modification of the Private Key stored in the Windows registry;
(d) Physical damage, failure, or destruction of the Authorized Device.

5.3 The Licensor bears NO RESPONSIBILITY and offers NO REMEDY for any loss of data resulting from the circumstances described in Article 5.2. The End User assumes full responsibility for maintaining the integrity of the Authorized Device and its Windows operating system.

5.4 The End User is strongly advised to maintain secure backups of critical information through independent means external to the Software.

--------------------------------------------------

Article 6 — Privacy and Data Collection

6.1 Minimal Data Collection. The Licensor is committed to maximum user privacy. The Software is designed to collect and transmit the absolute minimum data necessary for license activation.

6.2 HWID Transmission. The only data transmitted to the Licensor's servers during activation is the HWID. The HWID is a one-way, irreversible cryptographic value derived from non-personal hardware characteristics (such as the processor model identifiers and the mainboard firmware identifier). It is not derived from and does not contain the End User's name, email address, or any directly identifying information, and the original hardware values cannot be reconstructed from it. The HWID is transmitted through an encrypted channel solely for the purpose of generating the End User's unique Private Key, and is not retained by the Licensor after key generation. To the extent the HWID may be considered pseudonymous personal data under Regulation (EU) 2016/679 (GDPR), it is processed solely for the legitimate purpose of license activation and binding, and for no other purpose.

6.3 No Personal Data Required. The Licensor does not require the End User to provide their real name, email address, or any other personally identifiable information. Any information voluntarily provided by the End User during account creation is not verified and is not required to be accurate.

6.4 No Automatic Telemetry. The Software does not automatically transmit telemetry data, usage statistics, crash reports, behavioral analytics, or any other operational data to the Licensor or any third party. The Software performs no background or automatic transmission of alert data, event data, or analysis data of any kind.

6.5 Local Data Storage. All data generated by the Software during operation is stored exclusively on the Authorized Device, encrypted with the End User's Private Key. The Licensor has no access to this data.

6.6 Server Infrastructure. License activation is processed through servers hosted in France and the European Union. All data in transit is transmitted via encrypted channels. The Licensor does not retain HWID data after key generation.

6.7 Optional AI Copilot Service. The Software includes an optional, user-initiated cloud analysis feature ("AI Copilot") which is disabled by default. The AI Copilot transmits data to the Licensor's analysis service only when, and to the extent that, the End User takes all of the following explicit actions: (a) voluntarily enters their nyroxis.ai account credentials and connects the Software to the AI Copilot service from within the Dashboard; (b) affirmatively accepts the in-application data-sharing notice; and (c) manually selects an individual alert and requests its analysis. No data is transmitted to the AI Copilot service unless the End User has connected the service and has, for that specific alert, requested analysis. When the End User requests analysis of a given alert, the data transmitted for that alert may include: alert metadata (rule name, severity, channel), the source IP address associated with the alert, any notes the End User has added to the alert, and the definition of the detection rule that produced the alert. Raw event logs are not transmitted. The End User may disconnect the AI Copilot service at any time from the Dashboard, after which no further data is transmitted. The credentials and the data-sharing notice are presented to the End User in the application at the time of connection.

--------------------------------------------------

Article 7 — Security Disclaimer and Limitation of Liability

7.1 No Security Guarantee. The End User expressly acknowledges and accepts that absolute cybersecurity cannot be guaranteed by any software tool, technology, or service. The Nyroxis Software is designed to assist in detecting and analyzing potential security threats on the Authorized Device. It does not constitute a comprehensive security solution and does not guarantee the detection of all threats, attacks, vulnerabilities, or malicious activity.

7.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:
• Any security breach, cyberattack, or data theft that occurs on the End User's system, whether or not detected by the Software;
• Any failure of the Software to detect, prevent, or mitigate any security threat;
• Loss of data, including encrypted data, resulting from device failure, system reinstallation, or hardware modification;
• Any interruption, suspension, or termination of the Software's functionality;
• Any decisions made by the End User based on information provided by the Software.

7.3 Maximum Liability. In any event, the total aggregate liability of the Licensor under or in connection with this Agreement shall not exceed the amount paid by the End User for the License Key during the twelve (12) months preceding the claim.

7.4 AS IS. The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

--------------------------------------------------

Article 8 — Intellectual Property

8.1 Ownership. The Software, including but not limited to its source code, object code, algorithms, machine learning models, databases, user interfaces, architecture, and all related documentation, are and shall remain the exclusive intellectual property of NYROXIS. This Agreement does not transfer any ownership rights to the End User.

8.2 Trademark. The name "NYROXIS" and all associated logos, marks, and trade names are trademarks of the Licensor. The End User is not granted any right to use any trademark of the Licensor.

8.3 Feedback. If the End User provides any feedback, suggestions, or recommendations regarding the Software, the Licensor may freely use such feedback without restriction or obligation to the End User.

--------------------------------------------------

Article 9 — Prohibited Use and Export Compliance

9.1 Prohibited Uses. The End User shall not use the Software for any of the following purposes:
